General Terms and Conditions for Zedis

You are about to log in to Zedis, the digital platform of Port of Antwerp – Bruges NV under Public Law (POAB), with its registered offices at Zaha Hadidplein 1, 2030 Antwerp and registered with the Crossroads Bank for Enterprises (CBE) under no. 0248.399.380, which is intended to facilitate efficient information exchange between the various actors in the port on the Zeebrugge platform.

You will find below the terms and conditions related to the use of Zedis and the applications provided herein.

1. Scope of the Zedis services

1.1 Zedis is the Port Community System of POAB at its Zeebrugge site, and is intended to facilitate information exchange and transactions among the various economic and administrative actors in the Zeebrugge port community. Via Zedis, you as a User can use the Zedis applications ("Applications") that allow you to (i) look up and communicate administrative and logistical information yourself, with a view to safety and smooth and sustainable shipping traffic ("Data"), and (ii) perform actions such as making orders and planning for certain port services,, administrative declarations, permit applications (e.g. diving operations) and notifications (e.g. waste collection notifications) and (iii) enter data that forms the basis for billing. The Data is supplied by POAB or third parties who make their Data available through Zedis ("Data Holders").
1.2 You (the "User") declare that you are authorised by the organisation you represent to access the data and/or applications of certain data providers (POAB or third-party data providers) that make their data and/or applications accessible to users via the Zedis Portal and that you wish to access ("Data Holder", "Data" and "Applications"), in accordance with these terms and conditions. Every operation and action performed by you, every request, order, declaration, communication, consultation, etc., and every notification of information made by you shall be deemed to be performed by your organisation. As such, you confirm that your organisation has the necessary rights, licences and authorisations to perform the actions performed and communicate the Data communicated.
1.3 By registering on and accessing Zedis, you acknowledge that a binding agreement has been established between the organisation you represent and POAB. That agreement shall be non-exclusive, non-transferable and non-sub-licensable. You acknowledge that you have read and understood these General Terms and Conditions. You also acknowledge in your personal capacity that you will comply with these General Terms and Conditions. If your organisation has terms and conditions, such as purchasing conditions, these shall not apply to your use of Zedis.
1.4 Through your access to Zedis in accordance with these terms and conditions, you have access to certain Applications proposed by POAB and to Data made available by POAB and other Data Holders, which are eligible for the profile corresponding to your data and to your company's stated business activities. The access manager of the respective Data Holder has the right to make such access to its Data and Applications subject to certain conditions, which are at the sole discretion of the Data Holder.
1.5 Any access and use of the Data and Applications, whatever the type, is subject to these terms and conditions and the specific terms and conditions of the respective Data Holder. When you access Data or Applications of a Data Holder, a direct agreement is established between the Data Holder, you and your organisation. You must comply with this agreement.

2. Registration and access

2.1 Any person whose activity falls within the scope of normal port operations may access the Applications and Data relevant to their organisation. This access may be denied or terminated if your function in the context of normal port operations is not sufficiently clear or has been terminated.
2.2 POAB shall decide unilaterally, within the limits of its legal obligations, which Applications are made available via Zedis and with regard to what user groups this information is made available.
2.3 You must handle the means of authentication made available to you for access to the Zedis Application and specific Data and Applications, such as username, password or pin code, strictly personally and confidentially. If there is a risk that third parties may ascertain these means of authentication, you must immediately notify POAB and the relevant Data Holder, and POAB will be entitled to block access to these means of authentication. Any action performed via access with this means of authentication is always deemed to have been performed by you, and you and your organisation are responsible for it.
2.4 You must provide accurate and complete data. Accessing the Zedis Application services on the basis of false or inaccurate data, false identity or position, and providing access to unauthorised third parties is prohibited and may result in immediate termination of access. If POAB is made aware of incorrect or incomplete data, you will be notified and must correct or complete it as soon as possible.
2.5 You must keep all contact information and other relevant information on your Zedis account up-to-date. The e-mail address you provide will serve as the valid means of communication for the performance of your agreement with POAB.

3. Proper exercise of your access rights and rights of use

3.1 Your rights and obligations as a User of Zedis are governed by these terms and conditions, which you must accept before accessing the Applications and Data in Zedis.
3.2 You may not use your access to the Zedis Application for any unlawful or immoral purpose, nor attempt to gain access to (1) Data or Applications to which you do not have access or (2) attempt to gain access to the accounts of other users, or (3) attempt to gain access by any technical means other than those provided by the Zedis Application, nor (4) attempt to circumvent any security features or other safeguards. You must ensure that no computer viruses or other malicious code is spread through your access to the Zedis Application and to the Data and Applications.
3.3 You must not misuse access to the Zedis Application to infringe the intellectual property rights of POAB or the Data Providers.
3.4 You acknowledge that the actions you perform via Zedis, such as orders, appointments and returns, have binding consequences for your organisation.

4. Prices

4.1 Using Zedis is free in itself. A specific cost may be charged for certain actions, which will be clearly stated in such cases.

5. Intellectual property rights and rights of use

5.1 The Applications are and shall remain the intellectual property of POAB or POAB's licensors. The Data not transferred by yourself are and shall remain the property of POAB or the relevant Data Holders. POAB grants you a non-exclusive and non-transferable right to use the Applications and this Data for your organisation's own use, during the term of your account, in a way which is normal for your activities and in accordance with the purpose of the Application and of this Data.
5.2 It is not authorised to copy, decompile, or use Applications or Data for the benefit of third parties, with the exception of Article 6.1, or to allow third parties to use the Applications or Data.
5.3 It is not authorised to use the Applications or Data in a way that is illegal, unlawful or deceptive, or in a way that causes damage to third parties.
5.4 You are entitled to consult Data to the extent necessary or useful for your activities. Consulting or collecting Data by any method other than that provided by Zedis, or collecting a volume of Data not in accordance with normal use is not permitted.
5.5 POAB is the holder of the database right with respect to the Data contained in the databases compiled by POAB. However, this does not mean that POAB can always be regarded as the owner of Data provided by other Data Holders or yourself, nor that POAB assumes responsibility for the content, quality and completeness of such Data.
5.6 You or your organisation own the Data you communicate in the Zedis system. By accepting this Agreement, you consent to this Data being used by POAB or the third party with whom you are dealing, in connection with the transaction you wish to carry out, and this Data may also be made available to third parties, for example via a company affiliated with POAB, via specific APIs. By accepting this Agreement, you consent to POAB using this Data for other purposes, such as in the context of enforcement, improving services, providing specific information services, statistical purposes and reporting, and when communication of your Data is required by a legal obligation.

6. Use of the Data

6.1 The Data provided to you via Zedis that is not publicly available is provided for the purpose of your request. Unless otherwise agreed, this Data may only be used in the context of the actions for which it is communicated, in compliance with the principles of fair use, and may not be communicated to third parties unless they must have knowledge of this information in the context of performing the actions. In the event that certain Data must be communicated to an authority due to a legal obligation, the User shall only communicate the information strictly necessary pursuant to that obligation.

7. Use of the Data

7.1 Your personal data that you provide in the context of an action on Zedis may be processed by POAB in accordance with the Privacy Policy, which can be accessed here (Privacy policy | Port of Antwerp-Bruges). If you perform actions with third parties through Zedis, the third parties may process your personal data in accordance with their privacy policies. POAB declines all responsibility in this regard.

8.Liability

8.1 POAB shall make every effort to provide access to and enable the use of Zedis in an efficient manner. The commitments of POAB shall be best-efforts commitments. The availability and smooth use of Zedis depends on various technical factors and cannot be guaranteed at all times. POAB may, within the limits of its legal obligations, at any time suspend or (temporarily) stop access to Zedis for maintenance work and when this is appropriate in POAB's opinion for reasons of security, information security and in general to prevent or limit damage to POAB, Data Holders, technical partners and Users.
8.2 The Zedis service only provides access to the Applications and Data supplied by POAB and Data Holders. Pursuant to this service, POAB does not assume any liability for the actions of Data Holders or third parties with whom the User communicates. Actions performed between the Users and third parties using Zedis are performed directly between these parties. POAB does not act as an agent for the User or as an agent for third parties with whom the Users perform certain actions, and such third parties are not subcontractors of POAB.
8.3 Zedis is a collaborative project, in which Data is shared by various parties, and this Data may be enriched. The Zedis system was developed in the interest of the port user community, and depends on the smooth cooperation of all Users and Data Holders. POAB may perform verification and enrichment on the Data communicated by third parties through Zedis, but is under no obligation to do so. All Users acknowledge that errors and failures may always occur due to negligence, and all Users accept this risk. All Users acknowledge that POAB and every Data Holder contributing to the Zedis system makes a best-efforts commitment and is liable only for gross misconduct, which must be considered a manifest and serious shortcoming, or for intentional misconduct. If there is reason to doubt the accuracy of certain Data, the User has a duty to investigate the accuracy of this Data.
8.4 Neither POAB, nor any Data Holder, can be held liable for any event that makes it reasonably impossible or excessively onerous for it to perform the Zedis service, such as, but not limited to, war, boycott, terrorism, fire, (natural) disasters, strikes, government decisions, epidemics, power outages, internet failures, other technical failures that impact the proper functioning of Zedis or the unavailability of certain infrastructure or of the communication network beyond the control of POAB.
8.5 In the event of disruption or unavailability of a given service or of certain Applications or Data in Zedis, POAB will endeavour to resolve the problem to the best of its ability. In such cases, you will attempt to perform the intended action or Data consultation through another means, if possible. Technical problems must be reported by e-mail to our Zedis service desk: zedis@portofantwerpbruges.com.
8.6 As a User, you are solely responsible for the suitability and quality of your connection through which you access Zedis.
8.7 In any case, POAB and the other Data Holders will never be liable for indirect damages of the User and their organisation such as, without this list being exhaustive, commercial damage, lost income, loss of expected savings, reputational damage, claims of third parties.
8.8 Under all circumstances, POAB and the other Data Holders will only be liable for gross professional misconduct, and this liability will be limited to a maximum amount of EUR 1,000 for cumulative damages to the detriment of the User and their organisation during the year in which the damage occurred. Claims resulting in losses or damage of less than EUR 300 shall not be reimbursed. These restrictions do not apply in cases of intentional error or in cases of fault causing death or physical injury.
8.9 All claims must be communicated to POAB or the responsible Data Holder on pain of forfeiture within five (5) calendar days after the claim is identified or should normally have been identified by the User, so that the necessary observations can be made in good time.
8.10 You acknowledge that the limitation of liability and guarantees regarding the functioning of Zedis are justified by the collaborative nature of the Zedis system and the limited cost of the service.
8.11 Liability for services requested via Zedis. When you place an order or request a service from a service provider through Zedis, which is a third party with respect to POAB (in other words, which is not part of the POAB organisation), POAB declines all liability for the performance or non-performance of such service by the third party. Except as expressly agreed otherwise with a service provider from whom a service was requested via Zedis (both POAB and a service provider affiliated with POAB), such service provider shall not be liable for indirect damage, such as (non-exhaustive list), commercial damage, lost revenue, loss of anticipated savings, reputational damage, and/or claims by third parties.

9. Security

9.1 POAB shall secure access to Zedis in accordance with the state of the art applicable to such services.
9.2 POAB shall be entitled to monitor the use of Zedis for the purpose of security and the proper functioning thereof and to prevent or remedy breaches of these General Terms and Conditions.
9.3 POAB operates a responsible disclosure policy and a bug bounty programme to detect and remedy vulnerabilities in its applications. Zedis users are not allowed to carry out scanning, penetration testing or other security tests on the Zedis environment without prior written permission from POAB.

10. Termination

10.1 You are entitled at any time to terminate your agreement concerning the access to and use of Zedis, without having to respect a notice period. You must, however, respect the specific transactions you have entered into with respect to third parties.
10.2 POAB has the right to terminate the Zedis service with respect to the Users or certain categories of Users by giving 1 month's notice, to the extent possible within the legal and regulatory framework of the service provided via Zedis. POAB has the right to terminate services with respect to Users who no longer perform a function in the normal port operations, with immediate effect.
10.3 POAB has the right to terminate or suspend the Zedis services in the event of a breach of these terms and conditions. After issuing a reminder, POAB may decide to give the User a chance to rectify the breach if such rectification is possible, but it is not obliged to do so. The severity of the breach and/or repeated occurrence of the breach will be taken into account in POAB's decision. POAB is not responsible for the loss of User Data if it results from a termination or suspension as provided herein.
10.4 After the termination of your account, you may send a request to POAB to obtain your Data in a commonly used format. POAB will estimate the reasonable costs of such transfer.

11. Amendments

11.1 POAB shall have the right to modify these General Terms and Conditions, the Zedis services, the infrastructure, and the technical requirements for the access to and use of this service from time to time, in the light of the changes and developments in the field of technology, in the economic and regulatory environment and in all circumstances that impact upon this service. Potential amendments shall be communicated in good time and shall be enforceable against you one month after their announcement and thereafter, unless an urgent amendment is necessary. If you do not agree to the amendment, you shall be entitled to terminate the agreement and your use of Zedis.

12. Miscellaneous

12.1 POAB may transfer its agreements with Users regarding Zedis services to another entity associated with POAB.

12.2 If any provision of these General Terms and Conditions is deemed invalid or unenforceable, it shall automatically be replaced by a valid provision most closely resembling the content of the invalid or unenforceable provision.

12.3 You are aware that various rules and obligations (stipulated by the Flemish Government and/or by the Port of Antwerp-Bruges NV under public law) may be applicable as a result of or as a consequence of the use of. 12.4 You agree that, for VAT purposes, orders made may be treated as services supplied to seagoing vessels that are eligible for a VAT exemption, in accordance with the applicable Belgian and European VAT regulations, and you undertake to provide all information necessary for the assessment of this VAT treatment fully, accurately and in a timely manner to Port of Antwerp-Bruges NV under Public Law.

Your consent to the handling of VAT implies a sworn statement that the ship is intended exclusively for commercial activities and is used primarily for navigation on the high seas or intended exclusively for use as a lifeboat or vessel or as an inshore fishing vessel, in accordance with the conditions set out in the relevant VAT legislation and administrative guidelines.

If so requested by POAB, you undertake to provide proof that the ship is used primarily for navigation on the high seas.

If you fail to comply with these terms and conditions, or if you provide incorrect, incomplete or misleading information, you shall fully indemnify Port of Antwerp-Bruges NV under Public Law, against all resulting VAT, late payment interest, administrative fines and other costs.

12.5 You agree that Port of Antwerp-Bruges NV under Public Law can pass on the billing instructions provided by the User, or any other information required for billing purposes, to other partners in the chain, entities associated with the Port of Antwerp-Bruges, and/or to external parties involved in the billing process. These are general billing operations and the billing operations that are specified for the relevant partner in the chain. However, the specified VAT treatment, referred to under article 12.4. is only applicable to the Port of Antwerp-Bruges NV under public law and is not passed on to third parties.

12.6 You agree with the security measures that Port of Antwerp-Bruges NV under Public Law has to take and is required to impose in the context of internet safety and cybersecurity: General Enterprise Architecture Principles | Technical Standards Guidelines and Specifications

12.7 The Zedis services and these general terms and conditions are subject to Belgian law.

12.8 Any disputes shall fall under the exclusive jurisdiction of the courts in Antwerp.

Algemene voorwaarden Zedis

U staat op het punt in te loggen in Zedis, het digitaal platform van de Haven van Antwerpen - Brugge NV van Publiek Recht (POAB), met zetel te Zaha Hadidplein 1, 2030 Antwerpen en ingeschreven in de KBO onder nr. 0248.399.380, dat gericht is op een efficiënte uitwisseling van informatie tussen de verschillende spelers in de haven, voor wat betreft het platform Zeebrugge.

Hieronder vindt u de algemene voorwaarden met betrekking tot het gebruik van Zedis en de hierin aangeboden applicaties.

1. Draagwijdte van de Zedis dienstverlening

1.1 Zedis is het Port Community Systeem van POAB op locatie Zeebrugge, dat tot doel heeft de informatieverschaffing en verrichtingen tussen verschillende economische en administratieve spelers van de havengemeenschap van Zeebrugge te vergemakkelijken. Via Zedis kunt u als Gebruiker gebruik maken van de Zedis applicaties (“Applicaties”) waarmee u (i) administratieve en logistieke informatie met het oog op veiligheid en vlot en duurzaam scheepvaartverkeer kunt opzoeken en zelf kunt mededelen (“Gegevens”), (ii) verrichtingen kunt uitvoeren zoals bestellingen en planningen van bepaalde havendiensten, administratieve aangiften, vergunningsaanvragen (bv. duikwerken) en meldingen (bv. melding afvalophaling) en (iii) gegevens kan ingeven die gebruikt worden als basis voor facturatie. De Gegevens worden aangebracht door POAB of derden die hun Gegevens via Zedis ter beschikking stellen (“Gegevenshouders”).
1.2 U (de “gebruiker”) verklaart dat u gerechtigd bent door de organisatie voor wie u optreedt om toegang te verkrijgen tot de gegevens en/of applicaties van bepaalde gegevensaanbieders (POAB of derden-gegevensaanbieders) die hun gegevens en/of applicaties via het Zedis Portaal toegankelijk maken voor de gebruikers en die u wenst te ontsluiten (“Gegevenshouder”, “Gegevens” en “Applicaties”), overeenkomstig deze algemene voorwaarden. Elke handeling en verrichting die door u wordt uitgevoerd, elke aanvraag, bestelling, aangifte, communicatie, consultatie enz., en elke kennisgeving van informatie die door u wordt gedaan, wordt geacht te zijn uitgevoerd door uw organisatie. Daarbij bevestigt u dat uw organisatie over de vereiste rechten, licenties en machtigingen beschikt om de uitgevoerde handelingen uit te voeren en de medegedeelde Gegevens mede te delen.
1.3 Door uw registratie en toegang tot Zedis erkent u dat er een bindende overeenkomst tot stand is gekomen tussen de organisatie voor wie u optreedt en POAB. Deze overeenkomst is niet-exclusief, niet overdraagbaar en niet sub-licentieerbaar. U erkent dat u deze algemene voorwaarden heeft gelezen en begrepen. Tevens erkent u in uw persoonlijke hoedanigheid dat u deze algemene voorwaarden zult naleven. Indien uw organisatie algemene voorwaarden heeft, zoals inkoopvoorwaarden, dan zijn deze niet toepasselijk op uw gebruik van Zedis.
1.4 Via uw toegang tot Zedis overeenkomstig deze algemene voorwaarden heeft u toegang tot bepaalde Applicaties die door POAB worden aangeboden en tot Gegevens die ter beschikking worden gesteld door POAB en andere Gegevenshouders, en die in aanmerking komen voor het profiel dat overeenstemt met uw gegevens en met de aangegeven bedrijfsactiviteiten van uw onderneming. De toegangsbeheerder van de betreffende Gegevenshouder heeft het recht om die toegang tot zijn Gegevens en Applicaties afhankelijk te stellen van bepaalde voorwaarden, waarover uitsluitend de Gegevenshouder oordeelt.
1.5 Elke toegang tot en elk gebruik van de Gegevens en Applicaties, op welke wijze dan ook, is onderworpen aan deze algemene voorwaarden en de specifieke voorwaarden van de betreffende Gegevenshouder. Wanneer u toegang verkrijgt tot de Gegevens of Applicaties van een Gegevenshouder, komt er een rechtstreekse overeenkomst tot stand tussen de Gegevenshouder, uzelf en uw organisatie. U moet die overeenkomst naleven.

2. Registratie en toegang

2.1 Eenieder wiens activiteit kadert binnen de normale havenactiviteiten kan toegang verkrijgen tot de Applicaties en Gegevens die relevant zijn voor zijn organisatie. Deze toegang kan geweigerd of beëindigd worden wanneer uw functie in het kader van de normale havenactiviteiten onvoldoende duidelijk is of beëindigd is.
2.2 POAB beslist eenzijdig, binnen de grenzen van haar wettelijke verplichtingen, welke Applicaties via Zedis ter beschikking worden gesteld en ten aanzien van welke gebruikersgroepen deze ter beschikking worden gesteld.
2.3 U dient de aan u ter beschikking gestelde authenticatiemiddelen voor toegang tot de Zedis Applicatie en tot specifieke Gegevens en Applicaties, zoals gebruikersnaam, paswoord, strikt persoonlijk te gebruiken en vertrouwelijk te behandelen. Ingeval van een risico op mogelijke kennisneming van deze authenticatiemiddelen door derden zult u POAB en de betreffende Gegevenshouder onmiddellijk op de hoogte stellen, en zal POAB gerechtigd zijn om de toegang met deze authenticatiemiddelen te blokkeren. Elke handeling die wordt gesteld door middel van een toegang met deze authenticatiemiddelen wordt steeds geacht door u te zijn gesteld en u en uw organisatie bent daarvoor verantwoordelijk.
2.4 U dient correcte en volledige gegevens te verschaffen. Toegang tot de dienstverlening van de Zedis Applicatie op basis van valse of onjuiste gegevens, valse identiteit of functie, en het verschaffen van toegang aan niet-toegelaten derden is verboden en kan aanleiding geven tot een onmiddellijke beëindiging van de toegang. Indien POAB op de hoogte wordt gebracht van foutieve of onvolledige gegevens, zal u hiervan in kennis worden gesteld en dient u deze zo spoedig mogelijk te verbeteren of aan te vullen.
2.5 U moet alle contactgegevens en andere relevante informatie op Zedis account up-to-date houden. Het door u opgegeven e-mail adres zal gelden als geldig communicatiemiddel voor de uitvoering van uw overeenkomst met POAB.

3. Correcte uitoefening van uw toegangsrechten en gebruiksrechten

3.1 Uw rechten en plichten als Gebruiker van Zedis worden geregeld in deze algemene voorwaarden die u dient te aanvaarden vooraleer u toegang krijgt tot de Applicaties en Gegevens in Zedis.
3.2 U mag uw toegang tot de Zedis applicatie niet gebruiken voor onwettige of immorele doeleinden, noch trachten toegang te verkrijgen tot (1) Gegevens of Applicaties waartoe u geen toegang heeft of (2) trachten toegang te verkrijgen tot de accounts van andere gebruikers, of (3) trachten toegang te verkrijgen via andere technische middelen dan degene die door de Zedis Applicatie worden aangeboden, noch (4) trachten om enige security voorzieningen of andere beveiligingen te omzeilen. U dient er zorg voor te dragen dat via uw toegang tot de Zedis Applicatie en tot de Gegevens en Applicaties geen computervirussen of andere kwaadaardige code worden verspreid.
3.3 U mag de toegang tot de Zedis Applicatie niet misbruiken om inbreuk te plegen op de intellectuele eigendomsrechten van POAB of de Gegevensaanbieders.
3.4 U erkent dat de verrichtingen die u uitvoert via Zedis, zoals bestellingen, afspraken en aangiften, bindende gevolgen hebben voor uw organisatie.

4. Prijzen

4.1 Het gebruik van Zedis op zichzelf is gratis. Voor bepaalde verrichtingen kan eventueel een specifieke kostprijs worden aangerekend, die in zulk geval duidelijk vermeld wordt.

5. Intellectuele rechten en gebruiksrechten

5.1 De Applicaties zijn en blijven de intellectuele eigendom van POAB of de licentiegevers van POAB. De Gegevens die niet door uzelf worden overgemaakt zijn en blijven eigendom van POAB of van de betreffende Gegevenshouders. POAB geeft u een niet-exclusief en niet-overdraagbaar recht tot gebruik van de Applicaties en deze Gegevens voor het eigen gebruik door uw organisatie, gedurende de duurtijd van uw account, op een wijze die normaal is voor uw activiteiten en die overeenstemt met het doel van de Applicatie en van deze Gegevens.
5.2 Het is niet toegelaten om de Applicaties te kopiëren, te decompileren, noch om Applicaties of Gegevens te gebruiken ten behoeve van derden, met uitzondering van artikel 6.1., of om derden toe te laten de Applicaties of Gegevens te gebruiken.
5.3 Het is niet toegelaten om de Applicaties of Gegevens te gebruiken op een wijze die onwettelijk, onrechtmatig of bedrieglijk is, of op een wijze die schade berokkent aan derden.
5.4 U heeft het recht om Gegevens te consulteren in de mate dat dit nodig of nuttig is voor uw activiteiten. Het is niet toegelaten om Gegevens te consulteren of te verzamelen via een andere methode dan de methode die door Zedis wordt aangeboden, of om een volume aan Gegevens te verzamelen dat niet overeenstemt met een normaal gebruik.
5.5 POAB is titularis van het databankrecht met betrekking tot de Gegevens die zich bevinden in de databanken die door POAB zijn samengesteld. Dit betekent echter niet dat POAB steeds kan beschouwd worden als eigenaar van Gegevens die door andere Gegevenshouders of uzelf worden aangebracht, noch dat POAB de verantwoordelijkheid op zich neemt voor de inhoud, de kwaliteit en de volledigheid van deze Gegevens.
5.6 U of uw organisatie is eigenaar van de Gegevens die u mededeelt in het Zedis-systeem. Door de aanvaarding van deze Overeenkomst, geeft u toestemming dat deze Gegevens door POAB of de derde waarmee u handelt, worden gebruikt in het kader van de verrichting die u wenst uit te voeren en kunnen deze Gegevens ook ter beschikking worden gesteld aan derden, bijvoorbeeld via een onderneming verbonden aan POAB, door middel van bepaalde API’s. Door de aanvaarding van deze Overeenkomst, geeft u toestemming dat POAB deze Gegevens kan gebruiken voor andere doeleinden, zoals in het kader van handhaving, de verbetering van de dienstverlening, het aanbod van specifieke informatiediensten, statistische doeleinden en rapportering en wanneer mededeling van uw Gegevens verplicht is op grond van een wettelijke verplichting.

6. Gebruik van de Gegevens

6.1 De Gegevens die via Zedis aan u worden verstrekt en die niet publiek beschikbaar zijn, worden verstrekt in het kader van het doel van uw opvraging. Tenzij anders overeengekomen, mogen deze Gegevens alleen worden gebruikt in het kader van de verrichtingen waarvoor deze worden medegedeeld, met naleving van de principes van fair gebruik, en mogen deze niet aan derden worden medegedeeld tenzij deze kennis moeten hebben van deze informatie in het kader van de uitvoering van de verrichtingen. Ingeval bepaalde Gegevens aan een instantie moeten medegedeeld worden omwille van een wettelijke verplichting, zal de Gebruiker alleen de informatie mededelen die strikt noodzakelijk is ingevolge die verplichting.

7. Persoonsgegevens

7.1 Uw persoonsgegevens die u opgeeft in het kader van een verrichting op Zedis kunnen door POAB verwerkt worden in overeenstemming met de Privacy Policy die hier kan geraadpleegd worden (Privacybeleid | Port of Antwerp-Bruges). Ingeval u verrichtingen uitvoert met derden via Zedis is het mogelijk dat de derden uw persoonsgegevens verwerken overeenkomstig hun privacy policy. POAB draagt wat dat betreft geen verantwoordelijkheid.

8.Aansprakelijkheid

8.1 POAB spant zich in om de toegang tot en het gebruik van Zedis op een efficiënte wijze ter beschikking te stellen. De verbintenissen van POAB zijn inspanningsverbintenissen. De beschikbaarheid en een vlot gebruik van Zedis is afhankelijk van verschillende technische factoren en kan niet te allen tijde worden gegarandeerd. POAB kan, binnen de grenzen van haar wettelijke verplichtingen, te allen tijde de toegang tot Zedis schorsen of (tijdelijk) stopzetten omwille van onderhoudswerkzaamheden en wanneer dit naar het oordeel van POAB aangewezen is om redenen van security, informatieveiligheid en in het algemeen om schade voor POAB, de Gegevenshouders, technische partners en de Gebruikers te voorkomen of te beperken.
8.2 De Zedis-dienstverlening verschaft enkel en alleen toegang tot de Applicaties en Gegevens die worden aangeboden door POAB en de Gegevenshouders. Ingevolge deze dienstverlening neemt POAB geen enkele aansprakelijkheid op zich voor de handelingen van de Gegevenshouders of van derden waarmee de Gebruiker communiceert. Verrichtingen die tussen de Gebruikers en derden worden uitgevoerd met behulp van Zedis, worden rechtstreeks tussen deze partijen uitgevoerd. POAB treedt niet op als een agent voor de Gebruiker, noch als een agent voor derden waarmee de Gebruikers bepaalde verrichtingen uitvoeren, en deze derden zijn geen onderaannemers van POAB.
8.3 Zedis is een collaboratief project, waarin Gegevens worden gedeeld door een veelheid van betrokken partijen, en deze Gegevens kunnen verrijkt worden. Het Zedis - systeem werd ontwikkeld in het belang van de gemeenschap van havengebruikers, en is afhankelijk van de correcte medewerking van alle Gebruikers en Gegevenshouders. POAB kan een controle en verrijking uitvoeren op de Gegevens die door derden via Zedis worden medegedeeld, maar is daar niet toe verplicht. Elke Gebruiker erkent dat er zich steeds fouten en storingen kunnen voordoen door een onachtzaamheid, en elke Gebruiker aanvaardt dit risico. Elke Gebruiker erkent dat POAB en elke Gegevenshouder die bijdraagt tot het Zedis systeem een inspanningsverbintenis aangaat en slechts aansprakelijk is voor een zware fout, die moet aanzien worden als een kennelijk en ernstig verzuim, of voor een intentionele fout. Wanneer er reden toe is om te twijfelen aan de correctheid van bepaalde Gegevens, heeft de Gebruiker een onderzoeksplicht met betrekking tot de correctheid van deze Gegevens.
8.4 Noch POAB, noch een Gegevenshouder, kan aansprakelijk worden gesteld voor een gebeurtenis die het hem redelijkerwijze onmogelijk of buitengewoon bezwarend maakt om de Zedis dienstverlening uit te voeren, zoals, doch niet beperkt tot, oorlog, boycot, terrorisme, brand, (natuur)rampen, stakingen, beslissingen van de overheid, epidemieën, elektriciteitspannes, internetstoringen, andere technische storingen die een impact hebben op de correcte werking van Zedis of de onbeschikbaarheid van bepaalde infrastructuur of van het communicatienetwerk buiten de wil van POAB.
8.5 Ingeval van verstoring of onbeschikbaarheid van een bepaalde dienstverlening of van bepaalde Applicaties of Gegevens in Zedis, zal POAB naar beste vermogen een oplossing van het probleem nastreven. In dit geval zal u trachten om de voorgenomen verrichting of consultatie van Gegevens via een andere wijze uit te voeren, indien dit mogelijk is. Technische problemen moeten per e-mail gemeld worden aan onze Zedis service desk: zedis@portofantwerpbruges.com.
8.6 U bent als Gebruiker zelf verantwoordelijk voor de geschiktheid en de kwaliteit van uw connectie waarmee u toegang verkrijgt tot Zedis.
8.7 Hoe dan ook zullen POAB en de andere Gegevenshouders nooit aansprakelijk zijn voor indirecte schade van de Gebruiker en diens organisatie zoals, niet-beperkend opgesomd, commerciële schade, gederfde inkomsten, verlies van verwachte besparingen, verlies van imago, claims van derden.
8.8 Onder alle omstandigheden zullen POAB en de andere Gegevenshouders slechts aansprakelijk zijn voor een zware professionele fout, en deze aansprakelijkheid zal beperkt zijn tot een maximumbedrag van 1000 EUR voor gecumuleerde schadegevallen ten nadele van de Gebruiker en diens organisatie gedurende het jaar waarin de schadegevallen hebben plaatsgevonden. Schadegevallen die leiden tot een schade van minder dan 300 EUR worden niet vergoed. Deze beperkingen gelden niet ingeval van intentionele fout of ingeval van een fout die de dood of lichamelijk letsel veroorzaakt.
8.9 Elk schadegeval moet op straffe van verval aan POAB of de verantwoordelijke Gegevenshouder worden medegedeeld binnen de vijf (5) kalenderdagen nadat het schadegeval door de Gebruiker wordt opgemerkt of normalerwijze moet opgemerkt zijn, zodat de nodige vaststellingen tijdig kunnen gebeuren.
8.10 U erkent dat de beperking van de aansprakelijkheid en van de garanties betreffende de werking van Zedis verantwoord worden door de collaboratieve aard van het Zedis systeem en de beperkte kostprijs van de dienstverlening.
8.11 Aansprakelijkheid voor dienstverlening aangevraagd via Zedis. Wanneer u een bestelling plaatst of een dienstverlening aanvraagt van een dienstverlener via Zedis, die een derde is ten aanzien van POAB (die met andere woorden geen orgaan is van de POAB organisatie), draagt POAB geen enkele aansprakelijkheid voor de uitvoering of niet-uitvoering van deze dienstverlening door de derde partij. Behoudens een uitdrukkelijke andere afspraak met een dienstverlener bij wie een dienstverlening werd aangevraagd via Zedis (zowel POAB als een dienstverlener die verbonden is aan POAB), zal deze dienstverlener niet aansprakelijk zijn voor indirecte schade, zoals, niet-beperkend opgesomd, commerciële schade, gederfde inkomsten, verlies van verwachte besparingen, verlies van imago, en/of claims van derden.

9. Beveiliging

9.1 POAB beveiligt de toegang tot Zedis overeenkomstig de regels van de kunst die gelden voor dergelijke diensten.
9.2 POAB heeft het recht om het gebruik van Zedis te monitoren met het oog op de beveiliging en de goede werking van Zedis en met het oog op de preventie of remediëring van inbreuken op deze algemene voorwaarden.
9.3 POAB heeft een responsible disclosure beleid en bug bounty programma om kwetsbaarheden in haar applicaties op te sporen en te remediëren. Het is Zedis Gebruikers niet toegestaan om zonder voorafgaande schriftelijke toestemming van POAB scanning, penetration testing of andere beveiligingstests uit te voeren op de Zedis omgeving.

10. Beëindiging

10.1 U heeft steeds het recht om uw overeenkomst aangaande de toegang tot en het gebruik van Zedis te beëindigen, zonder naleving van een opzegtermijn. U dient wel de specifieke verrichtingen te respecteren, die u heeft aangegaan ten aanzien van derden.
10.2 POAB heeft het recht om de Zedis-dienstverlening ten aanzien van de Gebruikers of bepaalde categorieën van Gebruikers te beëindigen met toepassing van een opzegtermijn van 1 maand, voor zover dit mogelijk is binnen het wettelijke en reglementaire kader van de dienstverlening via Zedis. POAB heeft het recht om de dienstverlening ten aanzien van Gebruikers die niet langer een functie uitoefenen in het kader van de normale havenactiviteiten met onmiddellijke ingang te beëindigen.
10.3 POAB heeft het recht om de Zedis-dienstverlening te beëindigen of op te schorten in geval van een inbreuk op deze algemene voorwaarden. POAB kan beslissen om de Gebruiker na een aanmaning een kans te geven om de inbreuk te herstellen indien zulk herstel mogelijk is, maar is daar niet toe verplicht. De ernst van de inbreuk en/of het herhaald voorkomen van de inbreuk zal in aanmerking worden genomen bij de beslissing van POAB. POAB is niet verantwoordelijk voor het verlies van Gegevens van de Gebruiker indien dit het gevolg is van een beëindiging of schorsing zoals hierin bepaald.
10.4 Na de beëindiging van uw account kunt u een verzoek richten tot POAB om uw Gegevens te verkrijgen in een algemeen gebruikte format. POAB zal de redelijke kosten van zulke overdracht begroten.

11. Wijzigingen

11.1 POAB heeft het recht deze algemene voorwaarden, het aanbod van de Zedis dienstverlening, de infrastructuur, en de technische vereisten voor de toegang tot en het gebruik van deze dienstverlening van tijd tot tijd te wijzigen in het licht van de evolutie van de techniek, van de economische en reglementaire omgeving en van alle omstandigheden die een impact hebben op deze dienstverlening. Eventuele wijzigingen worden tijdig bekend gemaakt en zijn u tegenwerpelijk vanaf één maand na de bekendmaking ervan, tenzij een dringende wijziging noodzakelijk is. Indien u niet akkoord gaat met de wijziging heeft u het recht om de overeenkomst en het gebruik van Zedis te beëindigen.

12. Varia

12.1 POAB kan haar overeenkomsten met de Gebruikers aangaande de Zedis dienstverlening overdragen aan een andere entiteit die verbonden is aan POAB.

12.2 Indien enige bepaling van deze algemene voorwaarden ongeldig of niet-afdwingbaar zou geacht worden, zal deze automatisch vervangen worden door een geldige bepaling die zo dicht mogelijk aanleunt bij de inhoud van de ongeldige of niet-afdwingbare bepaling.

12.3 U bent ervan op de hoogte dat verschillende regels en verplichtingen (vastgesteld door de Vlaamse Regering en/of door de Haven van Antwerpen-Brugge NV van publiek recht) van toepassing kunnen zijn naar aanleiding of ten gevolge van het gebruik van Zedis. U vindt deze regels: Havenreglement en verordeningen | Port of Antwerp-Bruges.

12.4 U stemt ermee in dat geplaatste bestellingen voor btw-doeleinden kunnen behandeld worden als diensten verricht ten behoeve van zeeschepen die in aanmerking komen voor een btw-vrijstelling,  overeenkomstig de toepasselijke Belgische en Europese btw-reglementering en u verbindt zich ertoe alle informatie die noodzakelijk is voor de beoordeling van deze btw-behandeling volledig, correct en tijdig te verstrekken aan de Haven van Antwerpen-Brugge NV van publiek.

Het instemmen met de btw afhandeling houdt een verklaring op erewoord in dat het schip uitsluitend bestemd is voor commerciële activiteiten en hoofdzakelijk wordt gebruikt voor de vaart op volle zee of enkel bestemd is voor gebruik als reddingsboot- of schip of als schip voor de kustvisserij, overeenkomstig de voorwaarden opgenomen in de toepasselijke btw-regelgeving en administratieve richtlijnen.

U verbindt zich ertoe op vraag van de Haven van Antwerpen-Brugge NV van publiek recht het bewijs te leveren dat het schip hoofdzakelijk wordt gebruikt voor de vaart op volle zee.

Indien u deze voorwaarden niet naleeft of indien u onjuiste, onvolledige of misleidende informatie verstrekt, zal U de Haven van Antwerpen-Brugge NV van publiek recht, integraal vrijwaren voor alle daaruit voortvloeiende btw, nalatigheidsinteresten, administratieve geldboeten en andere kosten.

12.5 U stemt ermee in dat de Haven van Antwerpen-Brugge NV van publiek recht de facturatieonderrichtingen, die de Gebruiker opgeeft, of andere gegevens die noodzakelijk zijn in het kader van facturatie, kan doorgeven aan andere ketenpartners, aan entiteiten die verbonden zijn aan de Haven van Antwerpen-Brugge en/of aan externe partijen betrokken bij de facturatie. Het betreft de algemene facturatieonderrichtingen en de facturatieonderrichtingen die specifiek worden opgegeven voor de betreffende ketenpartner. De opgegeven btw- behandeling, vermeld onder artikel 12.4. is echter enkel van toepassing voor de Haven van Antwerpen-Brugge NV van publiek recht en wordt niet doorgegeven aan derden.

12.6 U stemt in met de veiligheidsmaatregelen die de Haven van Antwerpen-Brugge NV van publiek recht, dient te nemen en dient op te leggen in het kader van internet-veiligheid en cyber security: General Enterprise Architecture Principles | Technical Standards Guidelines and Specifications

12.7 De Zedis dienstverlening en deze algemene voorwaarden zijn onderworpen aan het Belgisch recht.

12.8 Eventuele geschillen behoren tot de exclusieve rechtsmacht van de rechtscolleges te Antwerpen.
